We represent both state and national banks with an emphasis on community
banking in the regulatory context. We pride ourselves on being responsive

Regulatory Law
The firm's regulatory practice encompasses compliance with banking
laws, regulations and interpretations, appearing before federal
and state banking regulators. We have represented banks in all
phases: bank formations, bank expansion (branch applications)
regulatory compliance, mergers, closure, and governmental enforcement
actions.
Our banking attorneys have represented and defended banks in
cease-and-desist proceedings and other enforcement actions, in
civil money penalty proceedings and in preparing capital plans
for banks. Our attorneys have also represented certain regulatory
agencies in closed bank matters and have a working knowledge of
the provisions of both FIRREA and FDICIA.
We are familiar with both national and state banking laws and
regulations and have dealt with both state and federal regulatory
agencies. We also have worked comprehensively with the consumer
laws regarding truth-in-lending, electronic funds transfers, equal
credit opportunity, fair credit reporting, the Expedited Funds
Availability Act, the Connecticut Plain Language Act, the Connecticut
Deposit Account Contract Act, financial privacy laws, and similar
consumer laws and have extensive experience in drafting both consumer
and commercial document forms for banks.
Another area in
which we have extensive background is compliance with the
laws regarding doing a banking business in Connecticut and
interstate banking.
Commercial Lending
With the experience of several seasoned practitioners within
the firm, we are fortunate to have depth in all aspects of
commercial, asset-based and real estate loan transactions.
We have the capability to handle large and complex lending
transactions as well as experienced staff to handle the more
routine transactions. We also bring to our banking practice
our firm's experience in corporate law to bear on the financing
issues and problems common to all types of businesses.

Creditors' Rights
Our banking practitioners have extensive experience in creditor's
rights law. We have represented numerous banks, financial institutions,
non-bank lenders and the FDIC in restructuring and working out troubled
loans and in bankruptcy proceedings. We pride ourselves in working
closely with our creditor clients to formulate restructuring and
exit strategies and to obtain the best possible results. With the
firm's strong commercial litigation capabilities, we are prepared
to tackle the thorniest workouts and to lock horns with the toughest
adversaries.
We have been involved in both pre-petition and post-petition
bankruptcy workouts and have served on and participated with our
clients' representatives on creditors committees in numerous bankruptcy
courts.
